TERMS OF USE AND TERMS OF SALE

1. Acceptance of Terms

By accessing or using this website, placing an order, or purchasing products from JRH Electronics, LLC ("JRH Electronics," “Company,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions (“Terms”), all applicable laws and regulations, and you agree that you are responsible for compliance with any applicable local laws.

If you do not agree to these Terms, you may not use this website or purchase products from us.

These Terms apply to all website users and purchasers of products.

2. Use License (Website Content)

Permission is granted to temporarily download one copy of the materials (information or software) on JRH Electronics’ website for personal, non-commercial, transitory viewing only. This is the grant of a license, not a transfer of title. Under this license you may not:

  • Modify or copy the materials;

  • Use the materials for any commercial purpose or public display;

  • Attempt to decompile or reverse engineer any software;

  • Remove copyright or proprietary notices; or

  • Mirror the materials on another server.

This license automatically terminates if you violate these restrictions and may be terminated by JRH Electronics at any time. Upon termination, you must destroy any downloaded materials in your possession.

3. Orders; Acceptance; Pricing

All orders submitted through the website or otherwise are offers to purchase and are subject to acceptance by JRH Electronics.

We reserve the right to:

  • Refuse or cancel any order for any reason;

  • Correct pricing, availability, or typographical errors;

  • Limit quantities.

An order confirmation does not constitute acceptance of an order. A contract is formed only when we ship the product.

4. Product Information; Suitability; Aerospace Use

JRH Electronics is a distributor and is not the manufacturer of products unless expressly stated.

Buyer acknowledges and agrees:

  • Buyer is solely responsible for determining the suitability of any product for its intended application, including aerospace, aviation, defense, military, or mission-critical uses.

  • JRH Electronics does not design, engineer, certify, or test products unless expressly agreed in writing.

  • All specifications, certifications, and technical data are provided as received from the manufacturer or supplier.

Buyer assumes all responsibility for integration, installation, and use of products.

5. Export Compliance

Products may be subject to U.S. export control laws and regulations, including but not limited to the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR).

Buyer agrees to comply with all applicable export and re-export laws and regulations and shall not export, re-export, transfer, or disclose products in violation of U.S. law.

6. Refunds; Returns; RMA

All sales are final. Items are non-cancelable and non-returnable except in cases of confirmed product defects.

  • A Return Material Authorization (RMA) must be obtained prior to any return.

  • Defect claims must be made within 10 business days of receipt.

  • Returned products must be unused and in original condition unless defective.

  • Buyer is responsible for return shipping unless otherwise agreed in writing.

Any manufacturer warranty, if applicable, is the sole warranty available.

7. Disclaimer of Warranties

Except as expressly provided in writing, all products and website materials are provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, JRH Electronics disclaims all express and implied warranties, including but not limited to:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

We do not warrant that website content is accurate, complete, or current.

Some jurisdictions do not allow limitations on implied warranties, so certain exclusions may not apply to you.

8. Limitation of Liability

To the fullest extent permitted by law:

  • JRH Electronics shall not be liable for any indirect, incidental, special, consequential, or punitive damages;

  • We shall not be liable for loss of profit, revenue, data, use, business interruption, loss of aircraft, loss of mission, recall costs, requalification costs, removal or reinstallation costs, or similar damages.

In no event shall JRH Electronics’ total cumulative liability arising out of or relating to any product or claim exceed the amount paid by Buyer for the specific product giving rise to the claim.

These limitations apply regardless of the legal theory asserted.

Some jurisdictions do not allow certain limitations; in such cases, liability shall be limited to the maximum extent permitted by law.

9. Indemnification

Buyer agrees to indemnify, defend, and hold harmless JRH Electronics, its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses arising out of:

  • Buyer’s misuse of products;

  • Modification or improper storage or handling;

  • Integration into other systems;

  • Violation of export laws;

  • Breach of these Terms.

10. Links

JRH Electronics has not reviewed all linked sites and is not responsible for their contents. Inclusion of a link does not imply endorsement. Use of linked websites is at user’s own risk.

11. Privacy Policy

Your use of this website is also governed by our Privacy Policy, which is incorporated herein by reference.

12. Force Majeure

JRH Electronics shall not be liable for delay or failure to perform due to causes beyond its reasonable control, including but not limited to supply chain disruptions, carrier delays, natural disasters, labor disputes, governmental actions, or shortages of materials.

13. Revisions

We may revise these Terms at any time by posting an updated version on the website. The “Last Updated” date will reflect the effective date of changes. Continued use of the website or purchase of products constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

15. Sales and Use Tax Disclosure

Sales tax will be applied to orders shipped to states where we are legally required to collect and remit tax. For orders shipped to states where we do not collect sales tax, you may be required to remit use tax directly to your state. Please consult your state’s department of revenue for additional information regarding your tax obligations.

16. Governing Law; Venue

These Terms and any dispute arising out of or relating to these Terms, your use of the website, or any purchase of products shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

You agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
